With lots of changes in the LLP incorporation process, Ministry of Corporate Affairs (MCA) has came up with the most awaited notification on 19^th September, 2018 with the amendment in LLP incorporation process. LLP Registration RUN-LLP & FiLLiP has been introduced.The changes has basically more focused on making the process more feasible and convenient to the stakeholders. Where MCA introduced LLP Registration RUN-LLP & FiLLiP. This RUN LLP Form can be used for the name reservation of at time of Limited Liablity Partnership Registration. And FiLLip form can be used for the LLP registration. Form 2 is now replaced with the LLP FiLLiP from. These rules may be called as Limited Liability Partnership (Second Amendment) Rules, 2018. They shall come into force on 2^nd October, 2018.

It has set a new path for LLP incorporation process. Initially the LLP incorporation process was under the authority of the concerned ROC (Registrar of Companies) but now the Ministry of Corporate Affairs has shifted the powers of concerned ROC with the CRC. i. e Central Registration Centre just like Private Limited Companies. CRC shall be the whole and Sole Authority for New LLP Registrations and allotment of DIN and name Application process. As per new LLP incorporation process and allotment of DIN and name application, a user ID needs to be created.

KEY Highlights of LLP Registration Process

• CRC i. e Central Registration Centre shall be the authority for LLP Registration, same as Company Registrations in India.
• Create a User ID on LLP gov.in. The site may also be accessed through www.mca.gov.in and follow the following procedure

1. Click on the register tab
2. Fill in the mandatory marks
3. Upload DSC
4. On successful registration, the system shall generate a Pop up that “You have been registered successfully”

• Now, LLP can be incorporated upto 2 individuals as Partners who do not have DIN (Directors Identification Number)
• New RUN-LLP form is introduced wherein name application for LLP can be made
• New Form FiLLiP is introduced for making an application with Registrar of Companies for LLP Registration.
• DPIN i. e Designated Partners Identification Number Application can be simultaneously filed with along with Form FiLLiP.

1. Is DPIN mandatory for LLP Registration as is required under existing system ?

• Yes, DIN is mandatory in case of LLP registration. For DIN allotment,  now any two partners can also form LLP without DIN initially just like Private Limited Company Registration under SPICe form. Here instead of SPICE form, Form FiLLiP shall be introduced by the MCA                                                                                                  

2. How Many names can I apply under the new system for LLP Registration?

• 2 Name can be applied under the new system for LLP Registration.                                                                             

3. How many resubmissions are allowed in case of name application of LLP via RUN-LLP form?

• 1 resubmission is allowed.                                                                                                                                    

4. Is there any resubmission allowed in case of Form FiLLiP for LLP incorporation process?

• 2 resubmissions are allowed for Form FiLLip Form.                                                                                         

5. Is CRC I. e Central Registration Centre will only be the whole and Sole Authority for LLP compliance governance part?

• All powers form ROC are verted with CRC, Delhi henceforth for LLP registration process
